  • Section 1: General Site Terms

    Welcome to the Ad Shop’s website, ("Ad Shop" or the "Website"). The Website is operated by Pattison Outdoor Advertising LP. (“Pattison Outdoor”). Accessing or using the Website, registering or uploading image(s) owned or operated by or on behalf of the Advertiser (the “Advertiser”or “Client”), signifies that the Client has read, understands and agrees to be bound by these terms of use (these "Terms of Use" or this "Agreement"), whether or not Website registration is complete. Clients are only authorized to use the Website (regardless of whether Client access or use is intended) if they agree to abide by all applicable laws and to this Agreement.

    Pattison Outdoor reserves the right, at our discretion, to change, modify, add, or delete portions of these Terms of Use at any time without further notice. If changes occur, Pattison Outdoor will post the changes to these Terms of Use on the Website. Clients continued use of the Website after any such changes constitutes acceptance of the revised Terms of Use. Except where stated otherwise, the terms "Pattison Outdoor" used on the Website and in this Agreement shall be deemed to include Pattison Outdoor Advertising LP, its affiliates and subsidiaries.

    In Pattison Outdoor’s sole discretion and without prior notice or liability, we may discontinue, modify or alter any aspect of the Website including, but not limited to, (a) restricting the time the Website is available, (ii) restricting the amount of use permitted, and (b) restricting or terminating any user's right to use the Website.

    The Client agrees that any termination or cancellation of their access to or use of, the Website may be effected without prior notice. If the Client does not abide by the terms of this Agreement, the Advertiser agrees that Pattison Outdoor may immediately deactivate or delete a user account, if any, and all related information and/or files in the user account and/or bar any further access to such information and/or files and/or the Website (or part thereof). Further, the Client agrees that Pattison Outdoor shall not be liable to the Client or any third-party for any termination or cancellation of, access to, or use of, the Website.

    The Client acknowledges that their only right with respect to any dissatisfaction with any modification to or discontinuation of the Website, or any policies or practices by Pattison Outdoor in providing the Website, including without limitation any change in content, is to cease using the Website and cancel or terminate their registered user account, as applicable. From time to time, Pattison Outdoor may supplement this Agreement with additional terms and conditions pertaining to specific content, activities or events ("Additional Terms"). The Client understands and agrees that such Additional Terms are hereby incorporated by reference into this Agreement.

    All content on the Website, including but not limited to designs, templates, text, graphics, pictures, video, software, and other files, and their selection and arrangement are the proprietary property of Pattison Outdoor, its affiliates, or licensors with all rights reserved. No Site Content as defined above and other than the Client’s own submissions that are legally posted on the Website, may be modified, copied, distrusted, framed, reproduced, republished, downloaded, displayed, posted, transmitted or sold in any form or by any means, without prior written permission from Pattison Outdoor.

  • Section 2: Advertiser Account Terms

    By use of the Website, the Client represents that they are eighteen years of age (18) or older and are not a person barred from receiving services under the laws of the Federal, Provincial or Municipal authorities of Canada. The Client also agrees to: (a) provide true, accurate, current and complete information as prompted by any registration form(s) on the Website and (b) maintain and promptly update the Registration Data to keep it true, accurate, current and complete.

    If the Client provides any information that is untrue, inaccurate, not current or incomplete, Pattison Outdoor has the right to suspend or terminate a Client account and refuse any and all current or future use of the Website (or any portion thereof).

    Clients are responsible for maintaining the security of their advertising account, and understands that Advertisers will be charged for any orders placed on or through their advertising account.

    In the event of a dispute as to the identity of a customer based on an e-mail address, the decision will be determined as the authorized account holder of the e-mail address at the time of registration. The authorized account holder is the natural person who is assigned an e-mail address by an Internet service provider or other organization responsible for assigning e-mail addresses for the domain associated with the e-mail address in question.

    Pattison Outdoor will collect, use or disclose a Client’s personal information only with their knowledge and consent, except where required or permitted by law and Pattison Outdoor will not make Client consent a requirement to the supply of a product or a service other than required to be able to supply the product or service.

    Advertiser consent can be expressed or, in some circumstances, implied, and given in writing, by using or not using a check-off box, electronically, orally (in person or by telephone), or by Client conduct, such as use of a product or service.

    In determining the type of consent to obtain, Pattison Outdoor will consider all relevant factors, including the sensitivity of the information and a Client’s reasonable expectations. A Client may withdraw their consent at any time, on reasonable notice, subject to legal or contractual restrictions.

  • Section 3: Technology Methods

    Client accounts and Submissions are subject to verification and will be declared invalid if they are illegible, mechanically reproduced, mutilated, forged, falsified, altered or tampered with in any way. Any use of an automated system is prohibited and will void a Client account and any Submissions in accordance to these Terms of Use.

    Pattison Outdoor is not responsible for data that is lost, misdirected, delayed, incomplete, garbled or received from outside of this Website. Advertisers agree that neither Pattison Outdoor nor their affiliates, if any, shall be liable or responsible for any failure of the Website, or any other website element, at any time, nor for any problems or technical malfunctions with respect to telephone lines, computer on-line systems, servers, access providers, computer equipment, software or any failure thereof or Internet traffic congestion, or any combination thereof including injury or damage to an customer or third party computer.

    Depending on each Client’s browser settings, a small file, or “cookie” is stored on their computer. If you arrive on the Website with your cookies turned off, Clients will not be identified until registered and signed on to the Website.

    Some features of the Website require that cookies be enabled. Clients can set browsers to not accept cookies or to send notification when a cookie is sent. Clients have the opportunity to decide whether or not to accept cookies. If cookies are not accepted, certain features of the Website may not be available.

    The Website includes the use of tracking pixels and other similar technologies. Pattison Outdoor uses third party service providers that help us track, collect, and analyze this information. Tracking pixels on the Website may be used to collect information about each visit, including pages viewed, features used, and other actions taken in connection with the Website. This information may include browser type,operating system, date and time information, and other technical information about a computer. This non-personally identifiable information is not shared with third party websites.

  • Section 4: Contract Terms

    The views per day and/or spots per day will be guaranteed over the duration of the Posting Contract. Late delivery of cancellation notification may skew and/or invalidate delivery guarantees.

    Delay in Posting:

    1. Where posting delays result due to inclement weather or technical difficulty, Pattison Outdoor shall provide “make good” display space equivalent to the original contracted level.
    2. Where delays due to a failure to provide production material or payment within the time specified herein via delay on the part of the Advertiser, Pattison Outdoor shall not be obligated “make good” display space on deadline, the material cannot be guaranteed to be posted on time and there are no assurances to the Advertiser of a complete showing.
    3. Pattison Outdoor shall have, at its absolute discretion, the right to reschedule any commercial broadcast or a portion thereof covered by this contract in order to broadcast any content deemed to be of public significance or interest. In such cases, Pattison Outdoor will (i) provide a pro-rated reduction in the time charges or (ii) a make good commercial broadcast of the omitted performance.
    4. If Pattison Outdoor shall be unable to broadcast due to public emergency, or necessity, legal restrictions, acts of God, or the direction of the federal, provincial or municipal authorities, the direction of Landlord, property manager, or other party that has granted or leased access to Pattison Outdoor to install its signage at the geographic Location of the advertisement, or for other reasons beyond the control of Pattison Outdoor , including labour disputes, mechanical conditions, then the following conditions shall apply to this contract. Pattison Outdoor shall not be liable to the Advertiser or its agents, for liquidated damages except to make good the commercial broadcast of the omitted performance.

    Pattison Outdoor shall have full and exclusive control over the installation, maintenance, change or removal of any and all advertisements provided by the Advertiser.

    If for any reason, Pattison Outdoor shall cease to have the right to maintain control of, or the right to continue to display advertising on any of the structures (the ‘Structures’) now controlled by it, Pattison Outdoor reserves the right to cancel and remove the advertising in the structures without prejudice (payment of penalty or deduction of campaign rate) to the remainder of the contract. If space is available, Pattison Outdoor may at their discretion substitute other structure locations to fulfill the balance of the contract for any locations that have been taken out of service.

    The Advertiser agrees to hold harmless, defend and indemnify Pattison Outdoor and the owners of the properties where structures are located against all actions, claims, demands, libel, slander, illegal competition or trade practices, infringement of trademarks, trade names, title violation or copyrights and proprietary rights resulting from any advertising display signs produced or displayed pursuant to or in connection with purchases completed on this Website.

    In the event of a loss of location(s), unavailable inventory or category conflict, Pattison Outdoor will provide a suitable substitution, increase of frequency per location, extension of display time or a pro-rated credit to the Client at its discretion.

    Website campaigns can be cancelled only by the Client as follows:

    1. Application for cancellation can be made through the Website however ads may run for several days after notification and the Client is responsible for payment of the ads up to the cancellation date.
    2. In progress campaigns are subject to a 10% penalty charge against the net value of space cancelled. While campaigns cannot be cancelled within 4 days from the posting close date, Clients can request to have their advertisement removed but are accountable for the remaining balance of the campaign.
  • Section 5: Creative Terms

    Pattison Outdoor reserves the right to not display any advertising which is considered to be in violation of the Canadian code of Advertising Standards or which Pattison Outdoor deems may be offensive to the moral standards of the community, or which we believe negatively reflects the character, integrity or standing of any organization or individual. The conditions and terms remain the responsibility of the Advertiser.

    All material for broadcast supplied by the Client is subject to Pattison Outdoor approvals expressly authorized to reject such material at its discretion including the right to reject for unsatisfactory technical quality and the right to reject for conflict of interest with leasing obligations.

    Pattison Outdoor is permitted 4 business days from the requested posting date to install copy, but the Client is assured of a full display period provided all creative and payments are delivered on time.

    Custom advertising productions costs are extra and estimates are approximate and must be confirmed in writing or by contract to the Advertiser upon receipt by Pattison Outdoor of actual artwork as defined by the technical specifications. Such material shall be subject to the approval of Pattison Outdoor Advertising.

    The Advertiser is responsible for any ad content, emails, postings, offers, photos, text, graphics, messages, or other information, data and materials and that the Advertiser may provide, post, upload or otherwise transmit to the Website (“Submissions” or “Content”). Clients may not post to the Website any Submissions that they did not create ort have all necessary rights to do so. Upon posting any Submissions to the Website, the Advertiser represents and warrants that they own or otherwise have full right and authority to submit such Content and that Content does not violate these Terms of Use. Except as provided in these Terms of Use, no submissions shall be subject to any obligation of confidence on Pattison Outdoor’s part, and we shall not be liable for any use or disclosure of any Content.

  • Section 6: Payments and Promotions

    By confirming the details and checking out a campaign, the Advertiser agrees to be bound by these Terms of Use and pay for that transaction. Subtotals are approximate, authorized and moderated prior to full payment is completed and maximum per transaction is up to $10,000.00 CAD. Any overdraft or other fees associated from a transaction are solely the responsibility of the Advertiser.

    The Advertiser confirms that by completing the payment process, the Advertiser is permitted to use the payment source and authorize Pattison Outdoor to store related transaction information.

    When the Advertiser provides credit card or account information (the “‘Payment Source”) to our designated payment processor, the Client confirms that they are permitted to use that Payment Source and consent for Pattison Outdoor to charge for the full amount of the purchase price to the Payment Source provided by the Advertiser. The Advertiser also authorizes Pattison Outdoor to collect related transaction information however the Website will not store the Payment Source account information.

    The Advertiser will notify Pattison Outdoor immediately if they believe that an unauthorized or otherwise problematic transaction has taken place with their Payment Source so that Pattison Outdoor may take action to prevent financial loss.

    Any Promotional Offers, discount codes, or Gift Cards (“Promotions”) received grants the Advertiser limited rights of use in conjunction with certain parts of the Website however Pattison Outdoor holds sole promotions ownership and the right to terminate and/or expire any Promotion.

    Promotions are not redeemable for any sum of money or monetary value unless otherwise expressed in writing by Pattison Outdoor and the Advertiser will not sell or transfer the value of said Promotions to anyone.

    Pattison Outdoor will inform individuals who make enquiries or lodge complaints about its enquiry or complaint procedures, as applicable. If a complaint is found to be justified ,Pattison Outdoor will take appropriate measures, including, if necessary, amending our policies and practices.
